Authorisation:
The client as detailed on either relevant invoice, quotation or email correspondence, (hereinafter referred to as “Client”) is engaging Giraffe Design, (hereinafter referered to as GD) as an independent contractor for the specific purpose of providing:

- A website (hereinafter known as Web Design Projec)
- Design for print ie Brochures, Leaflets, Advertising and similar material
- Vehicle graphics
- CD/DVD duplication
- ebay shop/listings

1.0 All web site design, text, graphics, the selection and arrangement thereof, all software compilations, underlying source code, software (including applets) and all other content on this web site, are copyright GD and its affiliates, or their content and technology providers. ALL RIGHTS RESERVED.

1.1 Visitors are permitted to print and download extracts from this site, provided:
(i). No documents or related graphics on this site are modified in any way.
(ii). Any use of the content of this site is for personal use of a strictly non-commercial nature.
(iii). If copies of these pages are saved to disk, or to any other storage medium, they may only be used for the purpose of subsequent viewing or to print extracts for personal use.

2.5 From time to time, we will use the information you provide about yourself, to keep you informed of additions or improvements to our service. When supplying name and contact information to GD, you indicate your willingness to receive such information and updates about our services.

GD will ensure the website will work in:

• Microsoft® Internet Explorer versions 4 and up
• Firefox/Mozilla/Safari on either Mac or PC platforms

While GD will make reasonable efforts to design a fully-functional web site, GD warranty does not cover AOL, text-based browsers or requested special effects that we have advised you against. Without sacrificing quality and design, we try to ensure that the content and functions we build into our websites are available to all visitors.

Client is responsible for:
The Client agrees that the Client is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Web Design Project or any other services contemplated herein, and will hold harmless, protect, and defend GD and its subcontractors from any claim, suit, penalty, tax, tine, penalty, or tariff arising from the Client’s exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.

Clients own hosting service:
An additional cost maybe incurred if the Clients own hosting service is not configured correctly, especially in the case of email forwarding scripts.

Clients.giraffedesign.co.uk (website test area)
The project will be live at www.clients.giraffedesign.co.uk/client name for the purposes of examination and testing by the client.

All websites must undergo a period of soak testing and problem shake-downs before being considered as ‘live’ for the general public, particularly with websites containing databases and/or shopping trolleys.

Completion Date:
GD and the Client will work together to complete the Project in a timely manner. The project will be completed in the timescale agreed with the Client at start of project, any delay in the Client supplying content may affect this timescale.

If the Client does not supply GD with required content for the Project within 30 days of the effective date of this agreement, the entire deposit shall be retained by GD and the contract shall become null and void.

The final project will be published to the either GD hosting service or the Clients own hosting service. The files will only be released once the client has signed off the project by sending GD an email, and any balance of payment has been paid in full.

Copyrights and Trademarks:
The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork used by, or furnished to GD for inclusion in the Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify GD and its subcontractors from any liability (including solicitors fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client. This includes any material that could be deemed pornographic in nature or any material unsuitable for viewing by certain age groups.

Giraffe Design Hosting:
GD offers full hosting services (provided by a third party). GD is NOT responsible for the operational efficiency of this third party hosting service. Nor can we be held responsible for any losses incurred due to ‘down time’ by third party hosting servers, or loss of data due to virus impregnation of third party hosting servers or losses due to faulty back-up systems that are the responsibility of the client.

GD will retain the project on its archive system, but encourages the Client back up websites especially in the case of e-commerce sites.

NOTE:
GD hosting provider aims to deliver 99.99% server connectivity. 99.9% uptime guarantee does not include scheduled maintenance - normally conducted outside of working hours.

Any connectivity downtime will affect your email (if POP and SMTP are provided by GD). Any downtime is outside of the control of GD.

Giraffe Design Links:
Unless otherwise agreed (GD) reserves the right to initiate advertising of (OUR) services on each page of the Clients website. This will normally be a small line at the foot of the home page.

Maintenance: (charged @ additional hourly rate)
This agreement allows for minor web site maintenance to pages, including updating links and making minor changes to a sentence or paragraph. It does not include replacing nearly all the text from a page with new text, major page reconstruction, new pages, guestbooks, discussion webs, navigation structure changes or attempted updates by Client repairs.

Search Engine Submissions:
giraffedesign will register your Web Design Project with:
• google.co.uk
• alexa.com
• uk.search.yahoo.com

This is free of charge but does not guarantee that any such search engines will place the Client’s Web Design Project near the top for any given search results.
